Please review these Terms of Service carefully before installing, accessing, or using Frego.

By installing or using Frego, you agree to these Terms. If you do not agree with these Terms, you should not install or use the Service.

1. Definitions

For the purposes of these Terms of Service:

“Frego,” “we,” “us,” or “our” refers to the company operating the Frego application and related services.

“Application” means the Shopify application known as Frego, including its features, functionality, updates, and related services.

“Service” means the Frego Application, website, documentation, support services, and any other functionality made available by us in connection with Frego.

“Website” means the Frego website and any related pages or domains operated by us.

“Shopify” means Shopify Inc. and its affiliates, platforms, products, and services.

“Merchant,” “you,” or “your” means the individual or legal entity that installs, accesses, or uses Frego.

“Store” means the Shopify store or other e-commerce environment connected to Frego.

“Account” means the account, Shopify store connection, or other credentials used to access and operate Frego.

“Content” means information, text, images, product data, configurations, rules, settings, or other materials submitted, imported, generated, or made available by you through the Service.

“Feedback” means suggestions, ideas, recommendations, comments, or other feedback you provide regarding Frego.

“Third-Party Services” means products, platforms, applications, websites, APIs, or services operated by parties other than Frego, including Shopify.

2. Acceptance of These Terms

These Terms govern your access to and use of Frego and establish the agreement between you and us.

By installing Frego through Shopify, accessing our Website, or otherwise using the Service, you confirm that you have read, understood, and agreed to these Terms.

If you are using Frego on behalf of a company or another legal entity, you represent that you have the authority to bind that entity to these Terms.

You must comply with all applicable laws, regulations, Shopify requirements, and third-party terms when using Frego.

You represent that you are legally capable of entering into this agreement. If you are under the legal age required to enter into a binding agreement in your jurisdiction, you may use the Service only with appropriate authorization from a parent, guardian, or legally authorized representative.

Your use of Frego is also subject to our Privacy Policy, which explains how we collect, use, and handle information associated with the Service.

3. Frego and Shopify

Frego is designed to work with Shopify stores and may depend on Shopify’s infrastructure, APIs, checkout functionality, or other Shopify services.

Frego is an independent application and is not owned, operated, sponsored, endorsed, or administered by Shopify unless expressly stated otherwise.

Your use of Shopify remains subject to Shopify’s own terms, policies, and requirements. You are responsible for maintaining a valid Shopify account and complying with all applicable Shopify rules.

Changes to Shopify’s platform, APIs, checkout architecture, permissions, policies, or technical requirements may affect the availability or functionality of Frego. We do not guarantee that Frego will remain compatible with every current or future Shopify feature.

4. Using Frego

Frego provides tools that allow merchants to create and manage checkout-related rules and configurations for their Shopify stores.

Depending on the features available to you, Frego may allow you to configure rules relating to products, customers, cart conditions, order conditions, shipping, payment methods, discounts, checkout behavior, or other store settings.

You are solely responsible for:

  • The rules and configurations you create using Frego.
  • Ensuring your rules accurately reflect your business requirements.
  • Reviewing and testing your configurations before relying on them in a live store.
  • Ensuring that your checkout rules comply with applicable laws and regulations.
  • Ensuring that your use of Frego does not violate Shopify’s policies or terms.
  • Monitoring the effect of your configurations on customers and orders.
  • Maintaining appropriate backups or records of important store configurations.

Frego is a configuration and automation tool. We do not determine whether a particular checkout rule is legally, commercially, or operationally appropriate for your business.

5. Account and Store Security

You are responsible for maintaining the security of your Shopify account and any credentials, permissions, or access used to operate Frego.

You must provide accurate information when required and keep relevant information reasonably current.

You must not share access credentials in a manner that could compromise your Store or the Service. You are responsible for activity performed through your account or authorized store connection.

If you believe that your account or Store has been accessed without authorization, you should notify us promptly and take appropriate steps to secure your Shopify account.

We may suspend or restrict access to Frego where reasonably necessary to protect the Service, our users, or third parties.

6. Your Content and Store Data

You retain ownership of Content that you provide to Frego, subject to the rights necessary for us to operate the Service.

By using Frego, you grant us a limited, worldwide, non-exclusive license to host, process, transmit, reproduce, modify, and otherwise use your Content only as reasonably necessary to provide, maintain, secure, improve, and support the Service.

You represent and warrant that:

  • You have the necessary rights and permissions to provide the Content to Frego.
  • Your Content does not violate applicable laws or third-party rights.
  • Your use of the Service does not infringe intellectual property, privacy, contractual, or other rights belonging to another party.

We do not claim ownership of your products, store information, customer information, or other Content merely because you use Frego to process or manage it.

7. Prohibited Uses

You agree not to use Frego to:

  • Violate any applicable law, regulation, or third-party right.
  • Violate Shopify’s terms, policies, or technical requirements.
  • Interfere with or disrupt the Service or its underlying infrastructure.
  • Attempt to gain unauthorized access to Frego, Shopify, another merchant’s store, or any related system.
  • Introduce malware, viruses, malicious code, or other harmful technology.
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of Frego, except where such restriction is prohibited by applicable law.
  • Circumvent security mechanisms, usage restrictions, or technical limitations.
  • Use the Service to engage in fraudulent, deceptive, abusive, or unlawful activities.
  • Impersonate another person, business, or organization.
  • Upload or transmit content that is unlawful, defamatory, threatening, obscene, discriminatory, or otherwise prohibited by law.
  • Use Frego to interfere with another party’s business, systems, or customers.
  • Resell, sublicense, distribute, or commercially exploit the Service unless expressly authorized by us.

We may investigate suspected violations and may suspend or terminate access where we reasonably believe that these Terms have been breached.

8. Checkout Rules and Merchant Responsibility

Frego allows you to establish rules that may influence how customers experience checkout or how certain checkout options are presented or handled.

Because these configurations are controlled by you, you are responsible for reviewing and validating all checkout rules before enabling them in your Store.

You acknowledge that incorrect, conflicting, incomplete, or improperly configured rules may affect customer checkout experiences, including the availability or presentation of products, payment methods, shipping options, discounts, or other checkout-related functionality.

Frego does not guarantee that a particular rule will produce a particular business outcome, increase conversion rates, prevent fraudulent orders, reduce costs, or achieve any other commercial objective.

You should regularly review your rules, particularly after changes to your Shopify Store, products, shipping settings, payment configuration, or other connected applications.

9. Intellectual Property

The Service, including its software, design, interface, branding, documentation, features, functionality, and original content, is owned by or licensed to us and is protected by applicable intellectual property laws.

Except for the limited right to use Frego in accordance with these Terms, no rights or ownership in the Service are transferred to you.

You may not copy, reproduce, modify, distribute, sell, lease, license, create derivative works from, or commercially exploit any part of Frego without our prior written permission, except where expressly permitted by applicable law.

“Frego” and related logos, names, designs, and branding are our trademarks or may be used under license. You may not use them without appropriate authorization.

10. Feedback

If you provide suggestions, recommendations, ideas, or other feedback regarding Frego, you agree that we may use that feedback without restriction and without any obligation to compensate you.

Where legally permitted, you assign to us all rights in such Feedback. If an assignment cannot legally be made, you grant us a perpetual, worldwide, irrevocable, royalty-free, transferable, and sublicensable license to use the Feedback for any lawful purpose.

11. Third-Party Services and Links

Frego may integrate with or rely upon Third-Party Services, including Shopify and other applications or platforms.

Third-Party Services are governed by their own terms and policies. We are not responsible for the availability, functionality, security, accuracy, or practices of Third-Party Services.

We may also provide links to third-party websites for convenience. Such links do not constitute an endorsement of those websites or their products and services.

You acknowledge that changes, interruptions, or failures affecting a Third-Party Service may also affect Frego.

12. Service Availability and Changes

We aim to keep Frego available and functioning reliably, but we do not guarantee uninterrupted or error-free operation.

The Service may occasionally be unavailable due to maintenance, upgrades, technical issues, security incidents, infrastructure failures, Shopify changes, or circumstances beyond our reasonable control.

We may modify, improve, add, remove, suspend, or discontinue features of Frego from time to time.

Where reasonably practical, we may provide notice of significant changes to the Service.

13. Data and Backups

We may maintain technical backups or copies of certain information as part of operating the Service. However, you should not rely on Frego as your sole backup system.

You remain responsible for maintaining appropriate copies of important Store information, configurations, checkout rules, and other business-critical data.

We do not guarantee that all Content will always be preserved, recoverable, or restored following a technical failure, deletion, corruption, or other incident.

14. Termination

You may stop using Frego at any time and may uninstall the Application from your Shopify Store.

We may suspend or terminate your access to Frego, with or without prior notice where permitted by law, if:

  • You materially breach these Terms.
  • Your use of the Service creates a security, legal, or operational risk.
  • You use Frego for unlawful or abusive purposes.
  • You fail to satisfy applicable payment obligations, where relevant.
  • Continued provision of the Service is no longer commercially or technically feasible.
  • We are required to do so by law or a third-party platform.

Upon termination, your right to access and use Frego will generally cease.

Termination will not affect provisions that, by their nature, should continue after termination, including provisions concerning intellectual property, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution.

15. Disclaimer of Warranties

To the maximum extent permitted by applicable law, Frego is provided on an “AS IS” and “AS AVAILABLE” basis.

We do not warrant that:

  • Frego will always be available or uninterrupted.
  • The Service will be completely free from errors, bugs, or defects.
  • Frego will meet all of your specific requirements.
  • Checkout rules or configurations will produce a particular commercial result.
  • The Service will remain compatible with every Shopify feature, API, application, or third-party service.
  • Information provided through the Service will always be complete, accurate, or current.
  • All defects or technical issues will be corrected.

You acknowledge that the performance of Frego may depend on Shopify, your Store configuration, third-party applications, internet connectivity, and other factors outside our control.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded under applicable law.

16. Limitation of Liability

To the maximum extent permitted by applicable law, Frego and its owners, affiliates, employees, contractors, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of, or inability to use, the Service.

This includes, without limitation, losses relating to:

  • Lost revenue or profits.
  • Lost sales or customers.
  • Business interruption.
  • Loss or corruption of data.
  • Loss of goodwill or reputation.
  • Incorrect checkout configurations.
  • Failed, delayed, or interrupted transactions.
  • Changes or failures affecting Shopify or other Third-Party Services.

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amount you paid to us for Frego during the twelve (12) months preceding the event giving rise to the claim, or (b) USD $100 if you have not paid us any fees.

Some jurisdictions do not permit certain limitations of liability. In those jurisdictions, our liability will be limited to the maximum extent permitted by applicable law.

17. Indemnification

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Frego and its owners, affiliates, employees, contractors, and service providers from claims, damages, liabilities, losses, costs, and expenses arising from or related to:

  • Your use or misuse of the Service.
  • Your breach of these Terms.
  • Your violation of applicable laws or third-party rights.
  • Content or information you provide through the Service.
  • Your Store, products, business practices, or customer relationships.
  • Checkout rules or configurations created or enabled by you.

18. Governing Law

These Terms will be governed by the laws applicable in the jurisdiction where the company operating Frego is legally established, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Your use of Frego may also be subject to mandatory laws and regulations applicable in your jurisdiction.

19. Dispute Resolution

If you have a concern or dispute regarding Frego, please contact us first so that we can attempt to resolve the matter informally.

If an informal resolution cannot be reached, any dispute will be handled in accordance with the applicable laws and jurisdiction governing these Terms, subject to any mandatory consumer protection rights that apply to you.

20. European Union Users

If you are a consumer located in the European Union, nothing in these Terms is intended to remove or restrict mandatory rights available to you under applicable consumer protection laws.

Where applicable, those mandatory rights will continue to apply regardless of any conflicting provision in these Terms.

21. United States Legal Compliance

You represent that you will not use Frego in violation of applicable United States laws or regulations.

You also agree not to use the Service in a manner that would cause us to violate applicable sanctions, export controls, or other restrictions imposed by competent authorities.

22. Severability

If any provision of these Terms is determined to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, where legally possible.

The remaining provisions will continue to apply.

23. Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision later.

A waiver of one breach does not constitute a waiver of any subsequent breach.

24. Language

These Terms may be made available in languages other than English for convenience.

If there is any inconsistency between a translated version and the English version, the English version will prevail to the extent permitted by applicable law.

25. Changes to These Terms

We may update these Terms from time to time to reflect changes to Frego, applicable laws, business practices, or other circumstances.

When we make material changes, we may provide reasonable notice through the Service, our Website, email, or another appropriate method.

The updated Terms will become effective on the date specified in the updated version.

By continuing to use Frego after the updated Terms become effective, you agree to the revised Terms. If you do not agree with the changes, you should stop using the Service and uninstall Frego from your Store.
